Heather represents U.S. and international based insurers in coverage matters with a focus on both transactional and management liability. Her representation in these matters specifically involves claims and coverage issues arising under directors and officers laibility policies and representations and warranties policies in connection with M&A transactions. The claims underlying the directors and officers laibility policies include securities class actions, shareholder derivative litigation, claims by bankruptcy trustees and receivers, employment practices litigation, and regulatory investigations against officers, directors, and employees of public and private corporations, non-profit organizations, and universities. The mergers and acquisitions underlying the representations and warranties policies involve a diverse range of companies and industries across the U.S. and abroad. Heather uses her experience to conduct thorough investigations of claims, work effectively with consultants and defense counsel, provide clear analysis regarding coverage, and advise her clients regarding efficient claim resolution and other legal considerations.
